The percentage of issued share capital is calculated based on 134,633,781 issued shares in Natural Cool Holdings Limited as at 14 December 2009.
(i) Pursuant to the Share Sale Agreement dated 29 June 2009, a total of 3,150,000 ordinary shares were issued to Chia Puay Hwee of which:
(a) *1,500,000 ordinary shares were issue in own name
(b) **1,650,000 ordinary shares were issued and deposited with DBS Nominees (Private) Limited pursuant to Clause 7.4(b)(ii) of the Share Sale Agreement.
(ii) ** Chia Puay Hwee holds 65% shareholding in Ecube Electric Pte Ltd. By virtue of Section 7(4A) of the Companies Act, Chia Puay Hwee is deemed to be interested in the 8,400,000 ordinary shares held by Ecube Electric Pte Ltd in the Company.
