The Board of Directors (the “
Board
”) of Natural Cool Holdings Limited (the “
Company
” and together with its subsidiaries, the “

”) is committed to
maintaining high standards of corporate governance and places importance on its corporate governance processes and systems so as to ensure greater
transparency, accountability and maximisation of long-term shareholder value.
This report outlines the Company’s corporate governance practices that were in place during the financial year ended 31 December 2014 (“
FY2014
”), with
specific reference made to the principles of the Code of Corporate Governance 2012 (the “

”) and the disclosure guide developed by the Singapore
Exchange Securities Trading Limited (the “
